Terms of Service

Stitch Hospitality

Welcome to Stitch Hospitality (“Stitch,” “we,” “us,” or “our”). We provide custom automation design, creation, and deployment services (the “Services”) for the hotel and hospitality industry, primarily using the n8n.io platform.

These Terms of Service (“Terms”) govern your (“Client,” “you,” “your”) purchase and use of our Services. By purchasing our Services or signing a project proposal, you agree to be bound by these Terms.

1. Scope of Services

Our Services consist of the consultation, design, development, and deployment of custom automation workflows (“Workflows”). Our standard process is as follows:

  1. Discovery & Scoping: We will work with you to define the specific goals, processes, inputs, and outputs for the desired Workflow. This will be outlined in a formal project proposal or scope of work (“Project Proposal”).
  2. Development: We will develop the Workflow in our own secure, internal n8n.io development environment.
  3. Deployment & Handoff: Upon completion and successful testing, we will deliver the final, functional Workflow to you. This delivery is typically completed by exporting the Workflow (e.g., as a JSON file) and providing it to you for import into your own n8n.io account.
  4. Post-Deployment Support: We provide a 14-day support period after final deployment to address any bugs or errors in the original, unaltered Workflow. This support does not include new features, changes to the original scope, or issues arising from your systems.

2. Client Responsibilities

To ensure the success of the project, you agree to the following:

  • Client N8N Account: You are solely responsible for procuring, maintaining, and paying for your own n8n.io account (whether cloud-hosted or self-hosted). Our Services do not include hosting or providing the n8n.io platform.
  • System Access & API Keys: You must provide timely access to all necessary third-party applications, software, and systems required for the Workflow to function (e.g., Property Management System, Sales CRM, email accounts). This includes providing all necessary API keys, credentials, and documentation. You represent that you have the legal right to grant us this access.
  • Testing & Sign-Off: You are responsible for timely testing of the deployed Workflow in your environment and providing a final “sign-off” or approval.
  • Data Integrity: You are solely responsible for the accuracy, legality, and security of all data that is processed by the Workflow.

3. Payment Terms

  • Project Fees: Our Services are billed as a one-time project fee, as detailed in your Project Proposal.
  • Invoicing: We typically require 50% of the project fee as an upfront deposit to secure a project slot. The remaining 50% is due upon final deployment and handoff of the Workflow.
  • Scope Creep: Any requests for features, functions, or integrations not explicitly defined in the original Project Proposal will be considered “out of scope.” This additional work will require a new Project Proposal and will be billed separately.
  • Refunds: The 50% upfront deposit is non-refundable as it covers our initial discovery, scoping, and project reservation. No refunds will be issued after the final Workflow has been deployed to your account.

4. Intellectual Property and Ownership

This is the most important part of our agreement.

  • Client Ownership: Upon our receipt of your final and full payment, you (the Client) are granted a perpetual, non-exclusive, non-transferable license to use the final, deployed Workflow for your internal business operations.
  • Stitch Hospitality Ownership: Stitch Hospitality retains all rights, title, and interest in and to all underlying methodologies, logic patterns, techniques, reusable code snippets, and general “know-how” developed or used by us in the creation of your Workflow.
  • Restrictions: You may not resell, white-label, distribute, or otherwise transfer the Workflow to any third party without our express written permission.

5. Disclaimers and Limitation of Liability

  • Third-Party Platforms: Our Services depend on the continued operation of third-party platforms, including n8n.io and the various applications you connect to (e.g., your PMS, CRM, Google, etc.). We are not responsible for any outages, API changes, or failures from these third-party services.
  • “As-Is” Service: We provide our Services “as-is” and without any warranties. We do not guarantee that the Workflows will be error-free or that they will meet any specific business outcomes (e.g., a specific increase in sales).
  • Limitation of Liability: To the maximum extent permitted by law, Stitch Hospitality shall not be liable for any indirect, incidental, or consequential damages, including lost profits or lost data, arising from the use of our Services or the Workflows. Our total liability to you for any and all claims shall not exceed the total amount you paid us for the specific Service in question.

6. Confidentiality

Both parties agree to treat all non-public information received from the other as confidential. This includes your business data, guest information, and internal processes, as well as our proprietary code, workflow logic, and pricing.

7. Term and Termination

  • Term: This agreement begins upon your payment of the project deposit and ends 14 days after the final deployment of the Workflow (at the end of the post-deployment support period).

8. General Provisions

  • Governing Law: These Terms shall be governed by the laws of California.
  • Changes to Terms: We may update these Terms at any time. The version of the Terms in effect at the time of your project’s start will apply to that project.
